TERMS AND CONDITIONS OF SERVICE

Introduction
These Terms and Conditions (“Terms”) apply to every sale and use of French‑language instruction, tutoring sessions, and related products or services (“Services”) provided by Toronto French Academy, a division of 16706282 CANADA INC. (“TFA,” “we,” “us,” or “our”). By clicking “I agree” or by completing payment where these Terms are referenced, you (“Student,” “you,” or “your”) confirm that you have read, understood, and accept every provision herein. If you do not agree, do not finalise payment or access the Services.
Definitions
For clarity: “Course” refers to a structured series of classes; “Session” means an individual live class; “Materials” are all videos, recordings, slide decks, documents, assessments, and other content TFA supplies; “Platform” is any software, website, or application we designate for scheduling, communication, or content delivery; and “Tutor” is any instructor engaged by TFA to render the Services.
Eligibility and Account
You warrant that you have reached the age of majority in your jurisdiction, possess the legal capacity to contract, and will supply accurate and current information at enrolment and thereafter. You are solely responsible for safeguarding your login credentials and for all activity carried out under your account.
Scope of Services
TFA delivers live, online French‑language Sessions that emphasise Canadian examinations such as TEF and TCF, together with any asynchronous content we choose to provide. We reserve absolute discretion to adapt curricula, schedules, pedagogical methods, class sizes, or Tutor assignments at any time in order to preserve instructional quality and operational efficiency. Marketing descriptions and sample syllabi are illustrative only and do not constitute promises of specific results.
Scheduling and Attendance
Upon enrolment you will receive a timetable that states Session dates and times in North American Eastern Time (ET) unless indicated otherwise. You bear sole responsibility for converting times to your local zone, joining punctually, and maintaining an adequate internet connection, microphone, webcam, and requisite software. Sessions missed for any reason that originates on your side, including personal conflicts or technical problems, are considered delivered and remain payable. Make‑up classes or credits are granted only at TFA’s discretion and may incur additional fees.
Payment, Pricing, Taxes, and Card‑on‑File Authorisation
All fees are quoted in Canadian dollars and are payable in full, in advance, through the payment gateway we provide. Your payment represents an irrevocable commitment to the full duration of the Course selected. You authorise TFA and its payment processor to store your chosen payment method as a card‑on‑file and to debit it automatically for scheduled instalments, any overdue or outstanding balance on your account, approved add‑on Services, administrative charges, and all costs arising from dishonoured or reversed payments. We will issue an electronic receipt each time a charge is processed. You must keep a valid payment method on file; suspension of Services may result from failed transactions, and you will remain liable for recovery costs. Published prices may change without notice for future enrolments and already include applicable Canadian harmonised sales tax (HST) unless expressly stated otherwise. Banks or card issuers may add foreign‑exchange or transaction fees for which you are solely responsible.
No‑Refund, No‑Chargeback Policy
Because tutor hours are allocated exclusively to you and classroom capacity is limited, all payments are final and non‑refundable. You waive any right to dispute, charge back, or reverse transactions except in the event of genuine, provable, unauthorised use of your payment method by a third party. Any attempted chargeback for Services voluntarily purchased constitutes a material breach of these Terms, entitles TFA to suspend or terminate access immediately, and authorises us to pursue collection, legal fees, and damages to the fullest extent permitted by law.
Cancellations and Withdrawals
If you choose to withdraw before the scheduled end of your Course, you remain liable for the full fee and will not receive a refund, credit, or transfer. Should you decide to discontinue Sessions, you must send written notice at least fourteen calendar days in advance; existing Sessions will proceed during that notice period. TFA may cancel or postpone a Session for operational reasons such as Tutor illness. In that circumstance we will offer a replacement Session or credit at our sole discretion, and that remedy is exclusive.
Tutor Assignment and Substitution
Tutor staffing is managed solely by TFA. We may substitute Tutors or adjust group compositions at any time. Substitute Tutors possess qualifications that we deem equivalent, and their appointment does not entitle you to any refund or discount.
Course Materials and Intellectual Property
All Materials are proprietary to TFA or its licensors and are provided solely for your personal, non‑commercial use during the Course. You may not copy, record, screenshot, distribute, transmit, publicly display, sell, license, or create derivative works from any Materials without our prior written consent. All intellectual‑property rights remain exclusively with TFA.
Recordings and Consent
Live Sessions may be recorded for quality assurance, training, or student review. By attending, you grant TFA an irrevocable, worldwide, royalty‑free licence to record, store, edit, and reuse your audio, video, and chat contributions for these purposes. Recordings remain TFA property, and access may be revoked at any time.
Student Conduct
You agree to behave respectfully toward Tutors and fellow students, to refrain from harassment, hate speech, or disruptive conduct, and to comply with all applicable laws. TFA may remove you from any Session and terminate Services without refund if your behaviour is, in our sole judgment, inappropriate or harmful.
Technology and Third‑Party Services
The Services rely on third‑party platforms such as Zoom, Google Workspace, and WhatsApp. Your use of those platforms is governed by their respective terms and privacy policies. TFA is not responsible for downtime, data loss, or security breaches attributable to third‑party providers. You are expected to maintain current operating systems, antivirus software, and firewall protection.
Privacy and Data Protection
TFA collects and processes personal information – including your contact details, payment data, and academic performance – in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and our published Privacy Policy. By agreeing to these Terms, you consent to such collection, use, retention, and cross‑border transfer of data for the purpose of delivering and improving the Services.
Disclaimer of Warranties
The Services, Materials, and Platform are provided “as is,” “where is,” and “as available,” with no warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non‑infringement. We do not promise that the Services will be uninterrupted, error‑free, or entirely secure.
No Guarantees; Student Responsibility
Under no circumstances shall TFA be liable for any direct, indirect, incidental, special, exemplary, or consequential damages arising from or connected to your use of the Services. We make no guarantees about academic grades, language-proficiency scores, immigration outcomes, or any other objective. The Services are educational in nature, and success depends on your personal effort, consistency, and adherence to the program. You acknowledge full responsibility for your progress and commit to attending Sessions with seriousness and intent.
Toronto French Academy (TFA) is a private language instruction provider and is not a Designated Learning Institution (DLI) as defined by Immigration, Refugees and Citizenship Canada (IRCC). We do not issue academic diplomas, degrees, or certificates recognized by IRCC, nor do we provide letters of enrollment for study permit applications, PGWP eligibility, or any other immigration-related purposes. Our programs are designed exclusively for adult learners aiming to improve their French proficiency from A1 to B2 levels. We do not offer programs for children or minors. By enrolling in our courses, you acknowledge that these are private, non-accredited classes intended solely for language learning. It is the student’s sole responsibility to ensure compliance with their immigration status in Canada, and participation in our courses does not confer any academic or immigration-related benefits under Canadian law. Limitation of Liability
To the maximum extent permitted by law, the aggregate liability of TFA, its officers, employees, contractors, and agents for any claim shall not exceed the total fees you actually paid for the Services that gave rise to the claim. We shall not be liable for any indirect, incidental, consequential, punitive, or special damages, or for lost profits, revenues, data, or goodwill, even if advised of their possibility.
Indemnification
You agree to defend, indemnify, and hold harmless TFA and its affiliates from all claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Services, or your violation of applicable law.
Force Majeure
TFA shall not be responsible for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemics, governmental actions, labour disputes, utility failures, or cyberattacks. Obligations are suspended for the duration of the force majeure event without liability.
Amendments
We may revise these Terms at any time by posting an updated version on our website. Unless a later effective date is stated, the amended Terms govern new purchases immediately and apply to current students thirty days after posting. Continued use of the Services after that date constitutes acceptance of the changes.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any dispute shall be submitted to binding arbitration under the Arbitration Rules of the ADR Institute of Canada, seated in Toronto, Ontario, and conducted in English. You waive any right to commence or participate in a class action against TFA, and judgment on an arbitral award may be entered in any court of competent jurisdiction.
Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be severed to the minimal extent necessary and the remainder shall continue in full force.
Entire Agreement
These Terms and the policies they reference constitute the entire agreement between you and TFA regarding the Services and supersede all prior or contemporaneous oral or written communications.
Waiver
No failure or delay by TFA in exercising any right, power, or privilege shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise of any right, power, or privilege.
Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. TFA may assign or transfer its rights and obligations, in whole or part, to any affiliate or successor entity without notice to you.
Communication Policy
Official communications from TFA will primarily occur via email. You agree to regularly monitor your provided email address for important updates, scheduling information, and administrative notices. Failure to review these communications does not constitute grounds for rescheduling or refund.
Notice
All notices required or permitted under these Terms must be in writing and shall be deemed duly given when delivered by e‑mail receipt confirmed.
